Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Connect+ platform, including the Connect+ web application at connecthq.ai, the Connect+ Marketplace App for GoHighLevel, related APIs, and any services we provide (collectively, the "Service").
The Service is provided by Connect+ with its principal place of business at USA ("Connect+", "we", "us", or "our").
By accessing or using the Service, by installing the Connect+ Marketplace App, or by clicking "I agree" (or similar) during onboarding, you agree to these Terms on behalf of yourself and the business entity you represent ("Customer", "you", or "your"). If you do not agree to these Terms, you must not use the Service.
1. Eligibility and Account Registration
To use the Service, you must (a) be a business entity legally registered and in good standing in your jurisdiction, (b) be at least 18 years of age and authorized to bind your business to these Terms, and (c) provide accurate, current, and complete information during registration and keep that information up to date.
You are responsible for safeguarding your account credentials, all activity that occurs under your account, and the actions of your employees, contractors, and authorized users ("Authorized Users"). You must notify us immediately of any unauthorized use of your account.
2. The Service
2.1 Description
Connect+ provides an orchestration and integration platform that connects third-party tools used by service businesses — including, without limitation, GoHighLevel ("GHL"), Salesape, and Housecall Pro ("HCP") — to automate lead intake, qualification, scheduling, and customer communication workflows. The Service may include a multi-tenant routing layer, webhook ingest, AI-assisted features, and a tenant dashboard.
2.2 Third-party services
The Service interoperates with third-party platforms that are independently operated and not owned or controlled by Connect+. Your use of those platforms is subject to their own terms and privacy policies. You are responsible for maintaining your accounts, subscriptions, and compliance with the terms of those third-party platforms. Connect+ is not responsible for the availability, performance, content, or acts or omissions of any third-party platform.
2.3 Updates and changes
We may modify, add to, or discontinue features of the Service at any time. We will make commercially reasonable efforts to provide advance notice of material changes that adversely affect your use of the Service. Continued use of the Service after a change takes effect constitutes acceptance of that change.
3. Acceptable Use
You agree that you will not, and will not permit any Authorized User or third party to:
- Use the Service in any manner that violates applicable law, regulation, or third-party rights;
- Use the Service to send unsolicited communications (spam), violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state telemarketing rules, or any other communications laws;
- Use the Service to make telephone calls, send SMS, or initiate AI voice interactions without the consents required by applicable law in the recipient's jurisdiction (including one-party or two-party call-recording consent rules);
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service, except to the extent applicable law permits;
- Resell, sublicense, white-label, or otherwise make the Service available to third parties except as expressly permitted by Connect+ in writing;
- Use the Service to store, transmit, or process protected health information (PHI) under HIPAA, payment card data subject to PCI-DSS, or other regulated data without an applicable written addendum signed by Connect+;
- Interfere with, disrupt, or place an unreasonable load on the Service, including by automated requests, scraping, or denial-of-service activity;
- Use the Service to develop a competing product, or to benchmark the Service for any purpose other than your own internal evaluation.
4. Customer Data
4.1 Definitions
"Customer Data" means data, content, and information that you, your Authorized Users, or your end customers submit to or generate through the Service, including contact records, conversation transcripts, call recordings, calendar entries, and job records.
4.2 Ownership
As between you and Connect+, you retain all right, title, and interest in and to Customer Data. You grant Connect+ a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to provide and maintain the Service, to prevent or address technical or security issues, to comply with law, and to perform the obligations described in our Privacy Policy.
4.3 Your responsibilities
You are solely responsible for: (a) the accuracy, quality, legality, and appropriateness of Customer Data; (b) obtaining all consents, permissions, and rights needed to provide Customer Data to Connect+ and to permit the processing described in these Terms and our Privacy Policy; (c) providing all required disclosures to your end customers, including notices regarding AI agents, call recording, SMS communications, and data sharing with service providers; and (d) honoring requests by your end customers to access, correct, delete, or restrict their personal information.
4.4 AI features
The Service may include features that use machine learning or generative AI models to analyze, summarize, route, or respond to Customer Data. AI outputs may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing AI outputs before relying on them and for any decisions you make based on those outputs. Unless we expressly state otherwise in writing, we do not use your Customer Data to train models that are made available to other customers.
5. Fees and Payment
Fees for the Service are set forth in the applicable order form, subscription plan, or pricing page at https://connectagency.ai/pricing. Unless otherwise stated, fees are quoted in U.S. dollars, are exclusive of taxes, and are non-refundable. You authorize Connect+ to charge the payment method you provide for all fees due.
If you fail to pay any undisputed amount within 30 days of the due date, we may suspend the Service after providing notice. We may increase fees with at least 30 days' prior notice; price increases take effect on your next renewal term.
6. Term and Termination
These Terms remain in effect for as long as you have an active account with Connect+. Either party may terminate these Terms for convenience with 30 days' written notice. Either party may terminate immediately for material breach that remains uncured 14 days after written notice.
Upon termination: (a) your access to the Service will end; (b) Connect+ will make Customer Data available for export for at least 30 days following termination, after which we may delete Customer Data in the ordinary course (subject to our backup and legal retention obligations); and (c) any fees accrued before termination remain payable. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
7. Confidentiality
Each party may disclose to the other non-public information that is identified as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will (a) use Confidential Information only to perform under these Terms, (b) protect Confidential Information with at least the same care it uses for its own confidential information of similar sensitivity, and (c) not disclose Confidential Information to third parties except to its employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations at least as protective as these Terms.
Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, was rightfully known before disclosure, is independently developed without use of the disclosing party's Confidential Information, or is rightfully received from a third party without confidentiality obligations.
8. Intellectual Property
Connect+ and its licensors own all right, title, and interest in and to the Service, including all software, documentation, designs, trademarks, and related intellectual property rights. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
You may submit comments, suggestions, or ideas for improving the Service ("Feedback"). You grant Connect+ a perpetual, irrevocable, worldwide, royalty-free license to use Feedback for any purpose without restriction or compensation to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONNECT+ DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Connect+ does not warrant that the Service will be uninterrupted, error-free, secure from all attacks, or that AI outputs will be accurate or reliable. The Service depends on third-party platforms (including GoHighLevel, Salesape, and Housecall Pro), and Connect+ is not responsible for outages, errors, or changes in those platforms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CONNECT+ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF CONNECT+ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CONNECT+'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CONNECT+ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) [USD $100].
11. Indemnification
You will defend, indemnify, and hold harmless Connect+, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, and reasonable attorneys' fees and costs arising out of or related to: (a) your Customer Data; (b) your or your Authorized Users' use of the Service; (c) your breach of these Terms or violation of applicable law; or (d) any claim that your end customers were not given disclosures or did not provide consents required by law (including TCPA, CAN-SPAM, state telemarketing laws, biometric or AI-disclosure laws, and call-recording laws).
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [Delaware], USA, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in [New Castle County, Delaware], for any dispute arising out of or related to these Terms, except either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account, by notice within the Service, or by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
14. Miscellaneous
These Terms, together with any order forms, addenda, and our Privacy Policy, constitute the entire agreement between you and Connect+ regarding the Service and supersede all prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets. Notices to Connect+ must be sent to the address above; notices to you may be sent to the email address associated with your account.
